Welcome to Msigns. These Terms and Conditions govern your access to and use of our website, services, and products. By engaging our services or accessing our website, you agree to comply with and be bound by the following Terms and Conditions, which, together with our Privacy Policy and any signed proposals or contracts, constitute a legally binding agreement between you and Msigns.
1. Company Overview
Msigns is a UK-based signage company specialising in exterior signage solutions, including bespoke 3D lettering, signage design, manufacture, installation, and maintenance. With over 7 years of experience, we serve businesses throughout the UK, including high-profile clients such as Screwfix and Subway.
2. Definitions
- Client / You / Your: The person or business placing an order or requesting services from Msigns.
- Services: All activities offered by Msigns, including but not limited to consultation, design, fabrication, installation, and aftercare related to signage.
- Agreement: These Terms and Conditions, along with any service quotation, invoice, written agreement, or email confirmation.
- Deliverables: The final signage, design files, digital proofs, prototypes, or any output generated by Msigns under the Agreement.
3. Acceptance of Terms
- These Terms apply to all Clients upon accepting a quotation, engaging with us through our website, or requesting services by email, telephone, or in person.
- These Terms shall prevail over any inconsistent terms or conditions referred to in any Client communication, purchase order, or other documentation unless explicitly agreed in writing by Msigns.
4. Quotations, Orders & Project Commencement
Quotations are provided free of charge and are valid for 15 days from the date of issue unless otherwise stated.
Order Acceptance
An order is only deemed accepted when:
- The Client has confirmed acceptance of the quotation in writing (email is sufficient), and;
- The agreed deposit or upfront payment has been received in cleared funds.
Project Commencement
Work will commence only after:
- Written acceptance of the quote;
- Receipt of required deposit;
- Confirmation of all design proofs and site conditions, where applicable.
Cancellation or Postponement
If the Client cancels an order after project commencement, they will be liable for:
- The cost of all materials ordered or work undertaken up to the cancellation date;
- Any restocking or reprint charges;
- A cancellation fee of up to 30% of the total quote for lost time and scheduling disruption.
5. Pricing and Payment Terms
Pricing
Prices quoted are exclusive of VAT unless otherwise stated. Prices may vary depending on the final specifications, materials, size, installation complexity, or time constraints.
Deposit and Final Payment
Unless agreed otherwise in writing:
- A 50% non-refundable deposit is required before production begins.
- The remaining 50% is payable upon completion and prior to delivery or installation.
Payment Methods
We accept payment via BACS, bank transfer, or approved business cheques. Payment details will be provided on invoices.
Late Payments
Failure to make payment by the agreed due date will result in:
- Interest being charged at 8% per annum above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998;
- Possible withholding of deliverables;
- Legal action or debt recovery procedures.
6. Design, Proofing & Approval
All design concepts remain the property of Msigns unless otherwise agreed in writing. We retain copyright on all original artwork and concepts.
Clients are responsible for carefully reviewing and approving all proofs before production. Once a proof is signed off:
- Msigns is not liable for any errors, omissions, or misunderstandings.
- Any corrections or modifications may incur additional charges.
Digital visuals are representations and may vary slightly in scale or colour when produced, especially due to lighting conditions, printing processes, or materials used.
7. Manufacturing & Installation
Production Timeline
Estimated production and delivery/installation timelines will be communicated at project commencement. Delays may arise due to:
- Material supply issues;
- Adverse weather conditions;
- Site access constraints;
- Client-induced delays (e.g., delayed approvals).
Site Access
Clients must ensure safe and unrestricted access to the site for installation. Delays or rescheduling caused by access issues may incur additional costs.
Health & Safety
Clients must inform Msigns of any known hazards on-site (e.g., electrical wiring, structural issues). Msigns reserves the right to pause or reschedule installations that pose safety concerns.
Permissions & Permits
It is the Client’s responsibility to obtain any required local authority permits or landlord permissions unless Msigns has explicitly agreed to do so in writing.
8. Warranties and Liability
Workmanship Warranty
We offer a 12-month warranty on all signage installations against manufacturing defects under normal use.
Exclusions
The warranty does not cover:
- Accidental damage;
- Vandalism;
- Wear and tear due to adverse environmental conditions;
- Improper installation by third parties.
Limitation of Liability
To the fullest extent permitted by law:
- Msigns shall not be liable for indirect, incidental, or consequential loss (including loss of profits, contracts, or goodwill);
- Our liability shall not exceed the total fees paid by the Client for the specific project.
9. Intellectual Property Rights
All intellectual property (designs, sketches, concepts) developed by Msigns remains our property unless agreed otherwise in a separate contract.
Clients may not reproduce, resell, modify, or distribute any of our work without prior written permission.
Where Clients supply logos, branding elements, or content:
- The Client warrants that they have legal rights to use such materials;
- Msigns accepts no liability for infringement of third-party rights based on client-supplied content.
10. Force Majeure
Msigns shall not be liable for delays, failures, or damages caused by events beyond our reasonable control, including but not limited to:
- Natural disasters;
- Strikes or industrial disputes;
- Acts of terrorism;
- Power outages;
- Supplier failures.
11. Website Use
You may browse our website and access publicly available content for personal or business use, subject to the following restrictions:
- You must not copy, reproduce, or reuse content without permission;
- You must not attempt to gain unauthorised access to secure parts of the website or our servers;
- You must not upload or transmit harmful code (e.g., viruses, trojans).
We reserve the right to suspend or block access to our website for any user violating these terms.
12. Privacy and Data Protection
We are fully compliant with the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.
By engaging with us, you agree to our Privacy Policy, which outlines:
- What data we collect (e.g., contact details, project data);
- How it is used (e.g., to fulfil contracts, marketing communications);
- Your rights (access, correction, deletion, objection).
We do not sell or share client data with third parties for marketing purposes.
13. Termination
We reserve the right to suspend or terminate a project or agreement in the event of:
- Non-payment;
- Repeated communication breakdowns;
- Abuse or threatening behaviour;
- Breach of these Terms.
Any unpaid fees or costs incurred up to the point of termination remain due.
14. Dispute Resolution
- We aim to resolve disputes amicably and professionally. Clients are encouraged to contact us promptly if dissatisfied with any aspect of our service.
- If a dispute cannot be resolved directly, either party may seek recourse through mediation or the courts.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of the courts of England.
16. Changes to Terms
We may amend these Terms from time to time without prior notice. The most recent version will always be posted on our website. Continued use of our services after such changes constitutes acceptance.
